Terms of Service

Please read these terms carefully before using the Trusible platform.

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Trusible Private Limited (UEN: 202557340G), a company incorporated in Singapore ("Trusible," "we," "us," or "our"), governing your access to and use of the Trusible digital platform, website, mobile applications, and all associated services (collectively, the "Platform" or "Services").

By accessing or using the Platform in any manner, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety, together with our Privacy Policy and Disclaimer. If you do not agree to these Terms, you must immediately cease all use of the Platform.

Trusible reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use of the Platform following any modification constitutes your acceptance of the revised Terms.

2. Nature of Platform and Services

2.1 Platform Description

Trusible operates a digital platform that facilitates access to third-party services for the buying, selling, and safekeeping of digital assets and tokenized commodities, including Bitcoin and tokenized gold. The Platform enables users to initiate and manage user-directed transactions while custody and settlement services are provided exclusively by licensed third-party service providers.

2.2 Role of Trusible

Trusible provides:

  • A secure digital platform and user interface for accessing digital asset services
  • Transaction orchestration, coordination, and record-keeping services
  • Facilitation of user-directed instructions to licensed third-party providers
  • Identity verification, onboarding, and compliance procedures
  • Customer support for platform-related inquiries

2.3 What Trusible Does Not Do

Trusible expressly does not:

  • Hold, control, or custody client assets directly
  • Manage or control private keys or cryptographic credentials
  • Operate as a cryptocurrency exchange or trading venue
  • Provide investment advice, portfolio management, or personalized financial recommendations
  • Offer leveraged products, derivatives, or speculative instruments
  • Promise, guarantee, or project returns, yields, or asset performance
  • Act as a bank, deposit-taking institution, or money service business
  • Manage or administer user funds or assets

2.4 Third-Party Service Providers

Custody, settlement, and execution services are performed by independently licensed third-party service providers. These providers operate under their own terms, conditions, regulatory licenses, and obligations. Trusible acts solely as a technology platform facilitator and does not assume responsibility for the acts, omissions, or failures of third-party service providers.

Your relationship with third-party custodians, execution providers, and other service providers is governed by separate agreements between you and such parties. Trusible is not a party to those agreements.

3. User Eligibility and Account Registration

3.1 Eligibility Requirements

To access and use the Platform, you must:

  • Be at least eighteen (18) years of age, or the age of majority in your jurisdiction
  • Have the full legal capacity to enter into binding agreements
  • Not be a citizen, resident, or national of any jurisdiction where use of the Platform is prohibited or restricted by applicable law
  • Not be subject to any sanctions or watchlist designations administered by relevant authorities, including the Monetary Authority of Singapore ("MAS"), the United Nations, the United States Office of Foreign Assets Control ("OFAC"), or equivalent bodies
  • Not be using the Platform on behalf of any sanctioned or prohibited entity

3.2 Account Registration

Access to the Platform requires the creation of a verified account. You agree to:

  • Provide accurate, complete, and current information during registration and throughout your use of the Platform
  • Promptly update your information if it changes
  • Maintain the confidentiality of your login credentials
  • Notify us immediately of any unauthorized access or suspected security breach relating to your account
  • Accept sole responsibility for all activity conducted through your account

Trusible reserves the right to refuse registration, suspend, or terminate any account at its discretion, including for failure to satisfy eligibility requirements or complete verification procedures.

3.3 Identity Verification (KYC/AML)

As a condition of access, you are required to complete identity verification and customer due diligence procedures ("KYC/AML"). You authorize Trusible and its designated verification partners to collect, process, and verify your personal information for these purposes. Failure to complete verification or provide satisfactory documentation will result in restricted or denied access to Platform services.

4. Transactions and User-Directed Instructions

4.1 User Responsibility

All transactions executed through the Platform are initiated and directed solely by you. Trusible does not exercise discretion over your transaction decisions, asset allocations, or holding strategies. You are solely responsible for all transaction instructions submitted through your account.

4.2 Transaction Execution

Transaction instructions are transmitted to licensed third-party execution and custody providers. Trusible does not guarantee execution timing, pricing, or availability. Execution is subject to the terms, conditions, and operational requirements of the relevant third-party providers.

4.3 No Guaranteed Access

Trusible does not guarantee continuous or uninterrupted access to transaction services. Market conditions, system maintenance, regulatory requirements, or third-party provider limitations may affect service availability.

4.4 Transaction Records

Trusible maintains records of transactions processed through the Platform. These records are provided for your reference. You are responsible for maintaining your own records for tax and regulatory compliance purposes.

5. Fees and Charges

Trusible may charge fees for Platform services, including but not limited to account maintenance, transaction facilitation, and ancillary services. Applicable fees will be disclosed in our fee schedule, which is incorporated by reference into these Terms. Fee schedules may be updated from time to time with reasonable notice.

Third-party service providers may charge separate fees for custody, execution, or settlement services. Such fees are governed by your agreements with those providers and are independent of any fees charged by Trusible.

6. Risk Disclosures and Acknowledgements

6.1 Digital Asset Risks

By using the Platform, you acknowledge and accept that digital assets, including Bitcoin and tokenized gold, are subject to significant risks, including:

  • Market volatility: Digital asset prices can fluctuate substantially and rapidly, potentially resulting in significant financial losses, including total loss of capital
  • Liquidity risk: Digital assets may experience reduced or no liquidity under certain market conditions
  • Regulatory risk: Changes in laws, regulations, or regulatory interpretations may adversely affect the value, transferability, or legality of digital assets across jurisdictions
  • Technology risk: Blockchain networks and digital asset protocols may experience technical failures, vulnerabilities, or unforeseen operational issues
  • Custody risk: While assets are held with licensed institutional custodians, risks associated with third-party custody arrangements cannot be entirely eliminated
  • Counterparty risk: Third-party service providers are subject to their own operational, financial, and regulatory risks

6.2 No Investment Advice

Nothing on the Platform constitutes investment advice, financial advice, tax advice, legal advice, or any other professional advice. All information provided is for general informational purposes only. You are solely responsible for your own investment and financial decisions. Trusible strongly recommends consulting qualified professional advisors before making any financial decision.

6.3 No Fiduciary Relationship

Your use of the Platform does not create a fiduciary, advisory, or trust relationship between you and Trusible. Trusible does not act as your agent, broker, financial planner, or custodian.

6.4 Capital at Risk

You acknowledge that digital assets are not legal tender, are not insured by any government deposit insurance scheme, and are not backed by any government or central authority. You may lose some or all of the capital allocated to digital assets. Only allocate capital you can afford to lose.

7. Acceptable Use and Prohibited Conduct

7.1 Permitted Use

The Platform is provided solely for your personal, lawful use in accordance with these Terms. Any other use is strictly prohibited.

7.2 Prohibited Conduct

You agree not to use the Platform to:

  • Engage in any unlawful activity or violate applicable laws or regulations
  • Conduct, facilitate, or attempt to facilitate money laundering, terrorist financing, fraud, or other financial crimes
  • Circumvent, bypass, or attempt to defeat any KYC/AML verification or compliance procedure
  • Provide false, inaccurate, or misleading information during registration or at any time during use
  • Manipulate markets, engage in wash trading, or conduct any activity designed to create artificial volume or price movements
  • Access or use the Platform on behalf of any sanctioned individual, entity, or jurisdiction
  • Interfere with, disrupt, or compromise the integrity, security, or performance of the Platform or its underlying systems
  • Attempt unauthorized access to any systems, networks, servers, or databases connected to the Platform
  • Use automated scripts, bots, scraping tools, or other automated means to interact with the Platform without written authorization
  • Violate any intellectual property rights of Trusible or any third party

7.3 Consequences of Breach

Trusible reserves the right, without prior notice and at its sole discretion, to suspend or permanently terminate your access to the Platform for any violation of these Terms, suspected fraudulent activity, or conduct that Trusible reasonably believes poses a risk to the Platform, other users, or applicable regulatory obligations.

8. Intellectual Property Rights

8.1 Ownership

All content, features, functionality, software, code, text, graphics, logos, trademarks, and other materials comprising the Platform ("Trusible Content") are owned by Trusible Private Limited, its licensors, or designated providers, and are protected by Singapore and international intellectual property laws.

8.2 Limited License

Subject to your compliance with these Terms, Trusible grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Platform for your lawful personal purposes. This license does not include any right to:

  • Copy, reproduce, modify, distribute, sell, or sublicense any Trusible Content
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Create derivative works based on the Platform or Trusible Content
  • Use Trusible's name, trademarks, logos, or branding without prior written consent
  • Remove, obscure, or alter any copyright, trademark, or proprietary notices

8.3 Feedback

Any feedback, suggestions, or ideas you provide to Trusible regarding the Platform may be used by Trusible freely and without any obligation to compensate you.

9. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, store, share, and protect your personal data. By using the Platform, you consent to the data practices described in our Privacy Policy, as may be updated from time to time.

Trusible processes personal data in accordance with the Personal Data Protection Act 2012 of Singapore ("PDPA") and other applicable data protection laws.

10. Disclaimers and Limitation of Liability

10.1 "As Is" Basis

The platform and all services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement. Trusible does not warrant that the platform will be uninterrupted, error-free, or secure.

10.2 Exclusion of Liability

To the maximum extent permitted by applicable law, Trusible, its directors, officers, employees, agents, affiliates, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or relating to your use of or inability to use the platform, including but not limited to:

  • Loss of digital assets, capital, profits, revenue, data, or goodwill
  • Losses arising from the acts or omissions of third-party custodians, execution providers, or other service providers
  • Losses resulting from unauthorized access to your account
  • Losses arising from market movements, price volatility, or changes in the value of digital assets
  • Losses caused by system outages, cyberattacks, or technical failures
  • Losses arising from changes in applicable law or regulatory action

10.3 Liability Cap

In no event shall Trusible's aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the total fees paid by you to Trusible in the twelve (12) months preceding the claim, or one hundred Singapore dollars (SGD 100), whichever is greater.

10.4 Force Majeure

Trusible shall not be liable for any delay or failure in performance resulting from circumstances beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government actions, regulatory interventions, cyberattacks, utility failures, pandemics, or natural disasters.

11. Indemnification

You agree to indemnify, defend, and hold harmless Trusible, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of or access to the Platform
  • Your breach of these Terms or any applicable law or regulation
  • Your violation of the rights of any third party
  • Any content, data, or instructions you submit through the Platform
  • Your negligence, fraud, or willful misconduct

This indemnification obligation survives termination of your use of the Platform.

12. Regulatory and Jurisdictional Matters

12.1 Singapore Operations

Trusible Private Limited (UEN: 202557340G) is incorporated in Singapore and conducts its operations in accordance with applicable Singapore laws and regulations.

12.2 Regulatory Status

Trusible Private Limited is not currently licensed by the Monetary Authority of Singapore ("MAS") as a capital markets services provider or payment service provider. The Platform facilitates access to services provided by separately licensed and regulated third-party providers.

This advertisement has not been reviewed by the Monetary Authority of Singapore.

12.3 Jurisdictional Restrictions

The Platform may not be available or appropriate for use in all jurisdictions. You are solely responsible for determining whether your access to and use of the Platform is lawful in your jurisdiction. Trusible reserves the right to restrict or terminate access from specific jurisdictions at any time without prior notice.

12.4 Tax Obligations

You are solely responsible for determining, reporting, and satisfying all tax obligations arising from your use of the Platform and any transactions in digital assets. Trusible does not provide tax advice and makes no representations regarding the tax treatment of digital asset transactions in any jurisdiction.

13. Termination and Suspension

13.1 Termination by User

You may close your account at any time by contacting us at dev@trusible.com. Closing your account does not relieve you of obligations arising prior to termination, including outstanding fees or compliance obligations.

13.2 Termination by Trusible

Trusible may suspend or terminate your access to the Platform, with or without notice, for any of the following reasons (without limitation):

  • Breach of these Terms or any applicable law or regulation
  • Failure to complete or maintain required KYC/AML verification
  • Suspected fraudulent, illegal, or prohibited activity
  • Regulatory requirement or direction from a competent authority
  • Prolonged inactivity, at Trusible's discretion
  • Cessation or modification of Platform services

13.3 Effect of Termination

Upon termination, your license to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including risk disclosures, limitation of liability, indemnification, intellectual property, and governing law — shall remain in full force and effect.

14. Modifications to the Platform

Trusible reserves the right to modify, suspend, discontinue, or restrict any aspect of the Platform, including supported digital assets, available services, or features, at any time with or without notice. Trusible shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

15. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity or enforceability of the remaining provisions.

16. Entire Agreement

These Terms, together with our Privacy Policy, Disclaimer, and any other agreements or policies expressly incorporated herein, constitute the entire agreement between you and Trusible with respect to the Platform and supersede all prior understandings, representations, or agreements relating to the subject matter.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles.

17.2 Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms or your use of the Platform, you agree to first contact Trusible at thomi.jasir@trusible.com to attempt to resolve the matter informally. If the dispute cannot be resolved within thirty (30) days of notification, the parties agree to submit the dispute to the exclusive jurisdiction of the courts of the Republic of Singapore.

17.3 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only and not as part of a class, consolidated, or representative action.

19. Acknowledgement

By accessing or using the Platform, you acknowledge that you have read these Terms of Service in full, understand their contents, and agree to be legally bound by them. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
